These Terms of Service ("Terms") govern your access to and use of the 0switch desktop application, the website at 0switch.com, and any related services we provide (together, the "Services"), offered by Zero Backlog LLC ("Zero Backlog," "we," "us," or "our"). By downloading, accessing, or using the Services, you agree to these Terms. If you do not agree, do not use the Services.

These Terms incorporate our Privacy Policy.

1. What 0switch is

0switch is a local-first desktop AI utility for individuals: dictation, writing cleanup, meeting recording, document structuring, local chat, and agentic workflows. It is designed to run on your device by default, and to use cloud services only as described in Section 4. The Services are provided for your own individual use.

2. Eligibility

You must be at least 13 years old (or the minimum age of digital consent in your country, if higher) to use the Services. By using the Services, you represent that you meet this requirement and that your use complies with all laws applicable to you, including export-control and sanctions laws.

3. License to use the app

Subject to these Terms, we grant you a personal, non-exclusive, non-transferable, revocable license to install and use 0switch for your own use. The 0switch application (excluding third-party and open-source components, which remain governed by their own licenses) is owned by Zero Backlog LLC. You may not resell, sublicense, or redistribute the app, and you may not reverse engineer, decompile, or disassemble it, except to the extent this restriction is prohibited by applicable law or permitted by the license of an open-source component.

4. Your content, privacy, and data

You own your content. Zero Backlog claims no ownership of, and no license to, the text, audio, transcripts, documents, or other content you create or process with 0switch ("Your Content"), other than the limited technical processing needed to provide the features you actively use, as described below.

AI output is yours. As between you and us, you own the output 0switch generates from your input, and we assign you any rights we may have in it. Because AI models can produce similar results for different people, output is not guaranteed to be unique, and you receive no rights in anyone else's output. Output produced through a third-party provider (your own key or the 0switch cloud's upstream providers) is also subject to that provider's terms.

Local by default. Your Content (dictations, recordings, transcripts, runs, templates, and settings) is stored only on your device, in a local database and local files. We do not operate a cloud store of Your Content, and the app performs no background sync, upload, or backup of your data.

Local-first processing. Core features (dictation, transcription, text cleanup, document parsing and structuring, OCR, and chat) are configured to run on your device first. More demanding features (deep reasoning, image understanding, and agent workflows) may use the 0switch cloud service by default when you are signed in. You can require fully on-device processing at any time by enabling Local-only mode, which disables all cloud AI processing (both the 0switch cloud and any third-party provider keys). The only network activity that remains in Local-only mode is optional software/model downloads and app-update checks, which never include Your Content.

Cloud processing is opt-in. Cloud AI features are used only when you enable them by (a) signing in to use the 0switch cloud service, (b) entering your own third-party provider key ("BYOK"), or (c) connecting an external service such as a calendar.

  • When you use a third-party provider with your own key, Your Content is sent directly from your device to that provider and does not pass through our servers.
  • When you use the 0switch cloud service, the specific content needed for your request (for example, the text or audio to process) is sent to our proxy server, which forwards it to our upstream AI providers to produce a result and streams it back. Our proxy passes Your Content through to fulfill the request and does not store or retain the content of your requests; we retain only your account and session information and aggregate usage and credit metering.

Content you send to any cloud provider is also processed by that provider under its own terms. You are responsible for safeguarding your own provider API keys.

No analytics or model training. 0switch contains no third-party analytics or tracking software and does not collect behavioral or usage analytics. We do not use Your Content to train any AI model, and we do not transmit Your Content for analytics. Optional crash reporting, where offered, is off by default and would send only anonymized diagnostics, never Your Content, and only if you opt in.

5. Accounts

No account is required to install or use 0switch's core local features. If you choose to use the 0switch cloud service, you can create an account using a passwordless email one-time-code sign-in (provided through a third-party authentication service). You are responsible for the email account you use to sign in and for activity under your account. You may sign out or delete your account at any time. We may suspend or terminate an account that violates these Terms.

6. AI output, automation, and third parties

AI output may be wrong. Features that use AI models can produce inaccurate, incomplete, or unintended output. You are responsible for reviewing output before relying on it. Output is not professional advice; do not rely on it for medical, legal, financial, safety, or other high-stakes decisions without independent verification by a qualified professional.

Automation acts on your instruction. 0switch can insert text into, and perform actions within, other applications on your device at your direction (for example, pasting at your cursor or running agent tasks that use tools). You are responsible for the actions you direct it to take and for any content it produces or modifies.

Recording. 0switch includes features that can record audio, including system audio that may capture other people. You are solely responsible for complying with all laws that apply to recording others, including obtaining any consent required in your jurisdiction. 0switch transcribes speech to text and does not create voiceprints or perform voice-based identification.

Third-party services and models. Cloud providers, downloadable models and engines, and connected services (such as calendars) are operated by third parties and governed by their own terms and licenses. You are responsible for complying with them. We do not control and are not responsible for third-party services or their output.

7. Acceptable use

You agree not to:

  • violate any applicable law or regulation, or use the Services to create or distribute unlawful, infringing, or harmful content;
  • process content you do not have the rights to process, or infringe the rights of others;
  • interfere with or disrupt the Services, or attempt to gain unauthorized access to our systems, including the 0switch cloud proxy;
  • circumvent or abuse usage limits, credit metering, or access controls;
  • transmit malware or use the Services to harm others;
  • resell, redistribute, or sublicense the Services without our written consent.

8. Plans and payment

0switch's core local features are free to use. We may offer a one-time purchase and a subscription that includes cloud credits.

Billing. Paid plans are sold and billed by our merchant of record, Polar, which processes payment and any applicable taxes and appears on your statement. We do not store your full payment-card details.

Subscriptions. A subscription renews automatically at the then-current price until you cancel. You can cancel at any time; cancellation takes effect at the end of your current paid period, and you keep access until then. A separate one-time purchase is not affected by cancelling a subscription.

Trial. A free trial, if offered, requires no payment details and simply ends when the trial period is over. It does not convert into a paid plan and does not charge you.

Credits. Cloud credits are tied to your billing period and expire at the end of each period; they do not roll over, have no cash value, and are non-refundable, including top-ups.

Changes. We may change plan prices and the credit cost of operations; price changes apply from your next renewal, with reasonable notice.

Refunds. Except where the law requires otherwise, fees are non-refundable. If you are a consumer in the EEA or UK, by starting a paid plan immediately you ask us to begin at once and acknowledge that you lose your statutory 14-day right of withdrawal once the service has begun.

9. Your local data and backups

Because Your Content is stored on your device and is not backed up to our servers, you are solely responsible for maintaining your own backups. To the fullest extent permitted by law, we are not liable for any loss of locally stored data, including from device failure, uninstallation, or your own actions.

10. Intellectual property

All rights in the 0switch application, website, branding, and design are owned by Zero Backlog LLC and protected by applicable intellectual property laws, except for third-party and open-source components, which remain the property of their respective owners under their own licenses. A list of those components and their license terms is included with the application in the THIRD-PARTY-NOTICES file. Except for the license in Section 3, we grant you no rights in the Services.

11. Feedback

If you send us feedback or suggestions, you grant us a perpetual, irrevocable, royalty-free license to use them without restriction or any obligation to you.

12. Availability and changes to the Services

We may modify, suspend, or discontinue the Services (or any part of them) at any time, with or without notice, and without liability to you. We do not guarantee that the Services will be available, uninterrupted, or error-free.

13. Disclaimer of warranties

The Services are provided "as is" and "as available," without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted, error-free, or secure, or that any output will be accurate or reliable.

14. Limitation of liability

To the fullest extent permitted by law, Zero Backlog LLC and its officers, directors, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, data, use, or goodwill, arising out of or related to your use of the Services, regardless of the theory of liability. Our total aggregate liability for all claims arising under or relating to these Terms will not exceed the greater of (a) the amount you paid us in the twelve (12) months before the claim or (b) USD $100.

15. Indemnification

You agree to indemnify, defend, and hold harmless Zero Backlog LLC and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or connected with Your Content, your use of the Services, or your violation of these Terms.

16. Termination

We may suspend or terminate your access to the Services at any time, with or without cause and with or without notice. Upon termination, your right to use the Services ends immediately; you may continue to use any locally installed copy of the app subject to these Terms. Sections that by their nature should survive (including Sections 3, 4, 6, 9, 10, 11, 13, 14, 15, 17, and 19) survive termination.

17. Governing law and disputes

These Terms are governed by the laws of the State of Wyoming, without regard to its conflict-of-law principles. Any dispute arising under or relating to these Terms is subject to the exclusive jurisdiction of the state and federal courts located in Wyoming. Before bringing any formal claim, you agree to contact us at support@0switch.com and give us 30 days to resolve the matter informally; either party may still bring an individual claim in small-claims court, and either party may seek injunctive relief in court to protect its intellectual property or stop unauthorized access. To the extent permitted by law, you waive any right to participate in a class action or class-wide arbitration.

18. Changes to these Terms

We may update these Terms from time to time. If we make material changes, we will update the "Last updated" date above. Your continued use of the Services after changes take effect constitutes acceptance of the updated Terms.

19. Severability, assignment, and entire agreement

If any provision of these Terms is found unenforceable, it will be limited or removed to the minimum extent necessary, and the remaining provisions will remain in full effect. Our failure to enforce any provision is not a waiver of our right to enforce it later. You may not assign these Terms without our written consent; we may assign them to an affiliate or in connection with a merger, acquisition, reorganization, or sale of assets. These Terms, together with our Privacy Policy, are the entire agreement between you and Zero Backlog LLC regarding the Services and supersede all prior agreements.
